End User License Agreement

This End User License Agreement ("EULA") governs your use of the Skygnsoftware and applications (the "Software"). It supplements our Terms of Service; if they conflict on a licensing question, this EULA controls. By installing, accessing, or using the Software, you agree to this EULA.

1. License grant

Subject to your active subscription and compliance with this EULA and the Terms of Service, Skygngrants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your organization's internal business purposes, for the number of Authorized Users (seats) in your Order.

2. Restrictions

You will not, and will not permit anyone to:

• copy, modify, translate, or create derivative works of the Software except as permitted by law;
• reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
• rent, lease, lend, sell, sublicense, host, or provide the Software to third parties as a service;
• remove or alter proprietary notices, or circumvent license, seat, rate, or security controls;
• use the Software to build or benchmark a competing product, or in violation of applicable law.

3. Ownership

The Software is licensed, not sold. Skygn and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except those expressly stated here.

4. Updates

We may provide updates, patches, or new versions of the Software from time to time. This EULA governs any update unless the update is accompanied by a separate license, in which case that license governs. We may modify or discontinue features consistent with the Terms of Service.

5. Third-party and open-source components

The Software may include third-party or open-source components licensed under their own terms. Those terms apply to those components; where required, notices and licenses are made available on request.

6. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it or when your subscription ends. On termination you must stop using the Software. Sections that by their nature survive (ownership, restrictions, disclaimers, and limitations) survive termination.

7. Disclaimers and limitation of liability

The Software is provided "as is" without warranties of any kind, and Skygn's liability is limited, in each case as set out in the Terms of Service, which are incorporated by reference.

8. U.S. government end users

The Software is "commercial computer software" under applicable U.S. federal regulations; government use, reproduction, and disclosure are subject to the restrictions in this EULA.
